John Held, Independent Director and Chairman of our Board of Directors

Mr. Held is a legal executive with extensive expertise in mergers and acquisitions, corporate and securities laws and corporate governance. Mr. Held currently serves as Executive Vice President, General Counsel and Secretary of Omega Protein Corporation, a nutritional specialty oils and proteins products company, and has served in those positions since June 2006. Mr. Held has also served as General Counsel and various other positions with Omega Protein since 2000. In 2014, Mr. Held founded The Byzantium Group, a private security and investigations firm where he served as Chairman of the Board. In 1999, Mr. Held was a co-founder of Red Hawk Industries, a consolidator of the bank equipment services industry. In 1995, Mr. Held was a key founding team member of American Residential Services, a consolidator of the air conditioning, plumbing and electrical services industries. Prior thereto, Mr. Held practiced corporate and securities law with a large international law firm. Mr. Held holds a B.A. in Economics and International Relations from Bucknell University and a Juris Doctor degree from Cornell Law School.

Deanie Elsner, Chief Executive Officer

Deanie Elsner is the former President of U.S. Snacks division at Kellogg Company with more than 25 years of diverse consumer packaged goods (“CPG”) experience across both business and marketing leadership roles in domestic and international markets. A talented marketer, she is widely recognized for driving business results by building brands through infrastructure, innovation, culture and talent.

Previously, Ms. Elsner served as President of Kellogg's $3B Snack Business Unit, the largest business unit in the Kellogg Global portfolio, where she transformed that business by leading the exit out of the direct store delivery distribution system, established a portfolio investment strategy and shifted to occasion-based marketing. Prior to joining the Kellogg Company, she served more than 20 years in various leadership roles at the Kraft Foods Company including Executive Vice President and Chief Marketing Officer, where she was named by Forbes as one of the 50 Most Influential Global CMOs. Ms. Elsner is credited for successfully launching over $650MM Net Revenue in innovation including, MiO Water Enhancers, Gevalia Café, Keurig compatible Coffee Pods and specialty beverages. Her experience also includes sales roles at Procter & Gamble and Johnson & Johnson.

Jacques Tortoroli, Independent Director

Mr. Tortoroli brings extensive experience in international finance and operations the Board of Charlotte’s Web. He was formerly Chief Administration Officer of Bacardi Limited, the largest privately held spirits company in the world, responsible for global finance, operations, information technology and real estate. Mr. Tortoroli also spent more than a decade at multinational entertainment company Viacom, Inc., most recently serving as both Executive Vice President of Finance for Viacom and as EVP and Chief Financial Officer for Viacom Media Networks (formerly MTV Networks). He serves on the Compensation and Audit Committees of Charlotte’s Web Holdings, Inc.

Jean Birch, Independent Director

Jean Birch is a veteran C-level operating executive with deep experience in the consumer sector as well as being a seasoned independent public company director. Ms. Birch brings more than 20 years of consumer retail experience running large restaurant companies where she consistently delivered exceptional results. She spent over 12 years with YUM Brands (Pizza Hut, Taco Bell) primarily in operating roles before becoming President of Corner Bakery Café for 2 years and then President of Macaroni Grill for 3 years. Her last operating role was with IHOP Restaurants where she was responsible for creating a new culinary strategy balancing the brand’s legacy with health and wellness trends, developing customer engaging and margin enhancing social/digital marketing tools and launching new growth platforms in CPG and international. Ms. Birch’s public company director service currently includes seats on the boards of Jack in the Box, Forrester Research and CorePoint Lodging, Inc.

Susan Vogt, Independent Director

Susan Vogt has more than thirty-five years' experience in the global life science research, pharmaceutical, biotech and clinical diagnostics markets, most recently as the Chief Executive Officer of venture-backed Aushon BioSystems, a life science and diagnostics tools company enabling the discovery and use of protein biomarkers for the diagnosis and treatment of complex diseases. Aushon BioSystems was acquired by Quanterix in 2018. Prior to joining Aushon, she led the turnaround of SeraCare Life Sciences as President and CEO. There she successfully re-listed the company on NASDAQ and returned the company to profitability. Prior to that, Ms. Vogt held numerous senior level positions at Millipore Corporation, including Corporate Officer and President of the BioPharmaceutical Division.

Ms. Vogt has served on the board of directors and advisory boards of a number of other private and publicly held companies, including UK-based TAP BioSystems, and Belfast-based Andor Technologies, and currently serves on the Board of Anika Therapeutics (NASDAQ:ANIK) and Sharps Compliance (NASDAQ:SMED). Ms. Vogt received her M.B.A. from Boston University and a B.A. degree from Brown University.

Tim Saunders, Independent Director

Tim Saunders has an extensive career in financial executive and leadership roles internationally across a number of sectors including cannabis, mobile, telecom, semiconductors, manufacturing and clean tech. He has expertise in financial operations management and control, governance, strategic planning, and M&A. Mr. Saunders was Chief Financial Officer of Canopy Growth Corporation from its entrepreneurial beginning and led its public up-listing to the Toronto Stock Exchange, and subsequently to the New York Stock Exchange – both firsts for the cannabis sector. During his tenure he oversaw more than C$6.4 billion in financings, 31 acquisitions, and an increase in market capitalization from approximately C$100 million to C$20 billion, as the world’s largest cannabis company. Mr. Saunders retired from his role at Canopy in May 2019 after four years with the Company. He brings a global perspective on cannabis as well as the developing hemp supply chains and related regulatory status across several countries. Mr. Saunders earned his CPA, CA with PricewaterhouseCoopers and has been recognized with the Fellow distinction by the Chartered Professional Accountants of Canada (FCPA, FCA) and possesses the ICD.D designation awarded by the Institute of Corporate Directors.
